These Terms & Conditions ("Terms") govern your use of the website, platform and services offered by Digital Fuel Holdings Limited trading as AffiliateFactory.ai ("AffiliateFactory", "we", "us", "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

1. Who we are

1. AffiliateFactory.ai is operated by Digital Fuel Holdings Limited (company number 12074629), registered office at Fuel Studios, Kiln House, Pottergate, Norwich, NR2 1DX (or such other address as notified by us).
2. We are the supplier and controller of the Services provided through AffiliateFactory.ai.

2. Definitions & Interpretation

• "Services" means any features, tools, dashboard, hosting, domain management, AI-powered features, analytics, integrations, affiliate network links, or other functionality made available via AffiliateFactory.ai.
• "User", "you" or "Customer" means any individual or business who accesses or uses the Services.
• "Account" means a registered user account on AffiliateFactory.ai.
• "AI Credits" means the virtual usage credits used to pay for AI-powered features or services within AffiliateFactory.ai.
• "Invoice" means a bill issued to you for usage, subscription, or other charges under these Terms.

3. Acceptance of Terms

By creating an Account, subscribing, using Services, or otherwise accessing AffiliateFactory.ai in any capacity, you confirm that:

• you are at least 18 years old and have the legal capacity to enter into a contract;
• you have read, understood and agree to be bound by these Terms;
• these Terms, along with any Order Form or invoice, constitute the entire agreement between you and us regarding the Services.

4. Services, Subscription & AI Credits

1. We grant you a non-exclusive, non-transferable, limited right to access and use the Services in accordance with these Terms.
2. Certain Services may be subject to usage-based billing via AI Credits. Each use of an AI-powered feature reduces your credit balance as per the published credit pricing schedule on our platform.
3. We may offer tiered subscription plans; the number of included credits (if any), overage rates, and feature access will be defined in our Subscription & Pricing Schedule.
4. The first users will receive an invoice-only billing model: usage will be recorded in the platform, and at the end of each billing period (monthly), we will issue an invoice for the credits and services used.

5. Orders, Invoices & Payment Terms

1. After each monthly billing period, we will generate an invoice summarising your usage, credits consumed, and any subscription or service fees due.
2. Payment terms (due date, payment methods, late payment consequences) will be detailed on the invoice. You agree to pay all amounts due in accordance with those terms.
3. If payment is not received by the due date, we reserve the right to suspend or restrict your access to the Services until payment is made.
4. All fees are exclusive of any taxes, duties or levies; you are responsible for any applicable taxes.

6. Acceptable Use & User Responsibilities

You agree not to:

• use the Services for unlawful, fraudulent, abusive or malicious purposes;
• attempt to reverse engineer, hack, or gain unauthorised access to the platform or other Users' data;
• use the Services in a manner that violates applicable laws or the rights of others;
• resell, redistribute, sub-license, or otherwise make the Services available to third parties outside of your permitted use;
• supply false, misleading or harmful content through the platform.

We may suspend or terminate your Account if you violate these Terms.

7. Intellectual Property & Licence

1. All intellectual property rights in the platform, software, documentation, and Services remain with Digital Fuel Holdings Limited (or its licensors).
2. Your use of the Services does not grant you any ownership rights in those systems or code.
3. If you provide feedback, suggestions or improvements, you grant us a perpetual, royalty-free, worldwide licence to use them.

8. Privacy & Data Protection

Your use of the Services is subject to our Privacy Policy (published separately). By using the Services you consent to our collection, use, storage and sharing of personal information as described there.

9. Warranties, Liability & Disclaimers

1. We provide the Services "as is" and make no warranties (express or implied) about performance, uptime, suitability for purpose, or results.
2. We are not liable for indirect, incidental, consequential or special damages (including lost profits, data loss or business interruption) arising out of or in connection with the Services.
3. Our maximum liability to you under these Terms shall not exceed the total amount you have paid to us in the 12 months preceding the claim.

10. Term, Suspension & Termination

1. These Terms remain in effect until terminated by either party.
2. You may cancel your subscription or close your account at any time (subject to any outstanding payments).
3. We may suspend or terminate your access immediately for breach of these Terms, non-payment, or misuse of the Services.
4. On termination, outstanding amounts become due immediately. We may delete or anonymise your data, at our discretion, after a reasonable grace period.

11. Changes to Terms

We may revise these Terms from time to time. We will notify you of material changes (e.g. via email or site notice). Continued use after changes constitutes acceptance of the new Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the English courts.
